TERMS and CONDITIONS and LEGAL NOTICE

You MUST READ and AGREE to these terms and conditions before you can join Active Business & Realty Inc. Please read them carefully.

1. By enrolling with Active Business & Realty Inc. (the "Service"), you become a Subscriber and agree to be bound by this Agreement (the "Agreement"). This agreement is subject to change by Active Business & Realty Inc., at any time, and changes are effective upon notice to each Subscriber.
2. Active Business & Realty Inc may terminate at anytime, and without cause, subscription to the Service.
3. Subscribers are responsible for providing all personal computer and communications equipment necessary to gain access to the Service. Access to and use of the Service is through a combination of an ID and a password. Each Subscriber must keep his password STRICTLY CONFIDENTIAL. Remember your password! For security reasons, Active Business & Realty Inc. will not release passwords for any reason, except as may be specifically required by law or court order. Unauthorized access to the Service is a breach of this Agreement and a violation of law.
4. Any liability of Active Business & Realty Inc. including without limitation any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, alteration of, or use of records, whether for breach of contract, tortuous behavior, negligence, or under any other cause or action, shall be strictly indemnify and hold Active Business and Reality, and representatives harmless by the Client registered.
5. No warranty is made by Active Business & Realty Inc. regarding any information, services, or products provided through or in connection with the Service, and Active Business & Realty Inc. hereby expressly disclaims any and all warranties, including without limitation: any warranties as to the availability, accuracy, or content of information, products, or services;
6. Except for public domain material and electronic messages, all material displayed on the Service is copyrighted and licensed by Active Business & Realty Inc. and may not be copied, redistributed, or downloaded, in whole or in part, without the prior written consent of, Active Business & Realty Inc. unless otherwise clearly stated in this Agreement.
7. The material on the Service is for the private, non-commercial enjoyment of Subscribers only. Any other use is prohibited.
8. Subscribers agree not to submit, publish, or display on the Service any defamatory, inaccurate, abusive, threatening, racially offensive, or illegal material. Transmission of such material that violates any federal, state, or local law, is prohibited and is a breach of this Agreement.
9. Subscribers agree not to engage in advertising to, or solicitation of other Subscribers to buy or sell any products or services through the Service without prior written consent. Subscribers are responsible for information they send, or display through the Service even if a claim should arise after termination of service.
10. There are no facilities provided by the Service for sending or receiving private or confidential electronic communications. All messages shall be deemed to be readily accessible to the general public. Do not use the Service for any communication for which the sender intends only the sender and the intended recipient(s) to read. Notice is hereby given that all messages entered into this Service can and may be read by the operators of the Service, whether or not they are the intended recipient(s).
11. Notices by Active Business & Realty Inc. to Subscribers may be given by means of electronic messages through the Service, by a general posting on the service, or by electronic or conventional mail. Notices by Subscribers to Active Business & Realty Inc. may be given by electronic messages or mail, otherwise specified in the Agreement. All questions, complaints, or notices to Active Business & Realty Inc., by means of electronic message must be sent to customerservice@activerealties.com. All questions regarding new Active Business & Realty Inc. memberships, by means of electronic message should be sent to customerservice@activerealties.com.
12. This Agreement contains the entire agreement between the Subscriber and Active Business & Realty Inc. regarding the use of the Service, and supersedes all prior written and oral understandings and writings, and may only be amended upon notice by Active Business & Realty Inc. to Subscribers. Unless otherwise explicitly stated, the provisions of this Agreement shall survive its terminations.
13. The above-mentioned information were given by the owner/vendor to the best of his knowledge. Active Business and Reality does not assume any responsibility for the above information.
14. The Client understands that by obtaining a User Name and Password and registers with Active Business and Realty Inc. the Client understands and agrees to the following:
    1. Active Business does not guarantee the accuracy and/or reliability of any information indicated.
    2. Active Business reserves the right to modify and change any information indicated.
    3. Active Business is a chartered real estate broker. In no way does Active Business represent itself as a lawyer or accountant.
    4. Active Business highly recommends all its clients to refer to a professional accountant and/or lawyer for advice and review all information before completing a transaction.
    5. Active Business may refer its clients to certain professionals in the industry however each Client is liberated to choose their own legal counsel.
    6. Active Business may at times represent both the Purchaser and Vendor in the same dossier, and both Clients understand and accept such arrangement.
    7. Active Business attempts to represent all data and information as accurate and recent as possible however all Clients will indemnify and hold Active Business and its representatives harmless of all present and future potential legal claims regarding any omissions, errors or conflict of interest.
    8. Each Client understands that buying and selling a business is based on many variables and situations and inherently is not free of risk. Each client understands that the variables are uncertain and results and projections are not guaranteed.

I, the new and/or existing Client of Active Business accept and understand the registration points indicated above. I fully accept the fact that Active Business is merely a business broker marketing and networking businesses for sale on behalf of the Vendors and Purchasers and it will be my responsibility to authenticate and verify all information before choosing to purchase any said business.
